Bin Wern Sern is a Partner in Financial Services. He practises in the areas of equity capital markets and corporate advisory work for companies listed on the Singapore Exchange Securities Trading Limited ("SGX"). He has experience in the fields of financial services regulation, Singapore taxation, asset securitisation and various facets of corporate work such as restructuring, mergers and acquisitions, joint ventures, employment and general commercial contracts. He also has had stints in the London office of Linklaters and the Singapore office of Goldman Sachs.

Capital market transactions in which he has been involved include:

 

the initial public offering and listing on the SGX of Hyflux Water Trust, a business trust investing in water-related infrastructure assets in the PRC and the first pure-play global water business trust to be listed in Asia, in 2007;

the initial public offering and listing on the London Stock Exchange of Symphony International Holdings Limited, a strategic investment company focusing on long-term direct investment opportunities in the Asia Pacific region, in 2007;

the initial public offering and listing on the SGX of Chemoil Energy Limited, a leading integrated physical supplier of marine fuel products globally, in 2006;

the proposed initial public offering of ING Global Equity Income Fund Limited in 2006;

the initial public offering and listing on the SGX of C & O Pharmaceutical Technology (Holdings) Limited, a distributor and manufacturer of pharmaceutical products in the PRC, in 2005; and

the establishment and introduction on the SGX of CapitaCommercial Trust, a Singapore-based unit trust established to invest in real estate and real estate-related assets which are used for commercial purposes, in 2004.

 

Follow-on offerings in which he has been involved include:

 

the offering of convertible bonds due 2013 by SGX-listed Olam International Limited in 2008;

the offering of non-cumulative non-convertible non-voting Hybrid Tier-1 guaranteed preference shares by DBS Bank Ltd in 2008;

the non-renounceable preferential offering of new shares by SGX-listed Olam International Limited in 2008; and

the special interim cash dividend and renounceable non-underwritten rights issue of SGX-listed SuperBowl Holding Limited in 2006.


Wern Sern graduated from the National University of Singapore with an LLB (Hons) degree in 1999. He was called to the Singapore Bar in 2000 and joined Allen & Gledhill the same year. He graduated from the ACCA (Association of Chartered Certified Accountants) in 2003.
