Michèle Foo is a Partner in Corporate Mergers & Acquisitions. Her area of expertise encompasses mergers and acquisitions (both by way of acquisition of shares and acquisition of businesses), local and regional joint ventures, schemes of reconstruction, amalgamation and capital restructuring. She also advises on labour law, the formation of companies and provides general corporate advice to companies across a broad spectrum of industries.

Her transaction experience includes advising:

 

a fund advised by HSBC Private Equity (Asia) Limited in its acquisition of a majority shareholding in The Executive Centre Group that offers premium serviced offices in seven countries and 14 cities, including China, Hong Kong, India, Japan, Macau and Singapore;

Singapore Telecommunications Ltd in its:

 

acquisition of a minority equity stake in Bharti Telecom Limited and its joint venture with the Bharti Group in Bharti Telecom Limited and Bharti Airtel Limited;

 

joint venture with Axia NetMedia Corporation, Singapore Press Holdings Limited and Singapore Power Limited to develop and operate the passive infrastructure of Singapore’s Next Generation National Broadband Network; and

 

acquisition of an equity stake in Warid Telecom (Private) Limited, a Pakistani telecommunications company;

Amcor Limited in its acquisition of the Alcan packaging business of Rio Tinto Alcan Inc;

The Royal Bank of Scotland Group Plc in the proposed disposal of its Singapore retail and commercial business;

Chi-X Global in its joint venture with Singapore Exchange Limited to develop and launch the first exchange-backed dark pool in Asia Pacific for the trading of securities listed on Asian stock markets;

General Electric Company in its disposal of its Plastics business in Singapore;

K-REIT Asia and Suntec Real Estate Investment Trust in their respective acquisitions of a one-third interest each in One Raffles Quay, a major office building in Singapore's Central Business District;

Minor International PCL in its acquisition of a majority equity stake in the ThaiExpress group of restaurants;

Temasek Holdings (Private) Limited on the restructuring of the Singapore electricity industry and the privatisation of the electricity generation businesses;

Kerzner International in their bid for the integrated resort to be built on Sentosa Island, Singapore; and

BP in its disposal of its refinery and retail businesses in Singapore.


Michèle graduated with an LLB (Hons) degree from the University of Bristol and qualified as a Barrister-at-Law at Gray’s Inn. She was called to the Singapore Bar in 1993 and has been a Partner since 2000.
