Sharon Wee is a Partner in Financial Services. Her areas of focus include capital markets, mergers and acquisitions, and general corporate law. She has advised a number of banks, financial institutions and corporations on cross border initial public offerings, fund-raising, securitisations and other capital markets matters.

Transactions of significance in which she has advised include:

 

Rickmers Maritime’s Rule 144A/Regulation S initial public offering on the Singapore Exchange Securities Trading Limited;

LMA International N.V.’s Rule 144A/Regulation S initial public offering on the Singapore Exchange Securities Trading Limited;

the proposed Regulation S initial public offering of an aircraft business trust sponsored by GE Commercial Aviation Services Limited on the Singapore Exchange Securities Trading Limited;

the proposed Regulation S initial public offering of a utilities business trust sponsored by Arcapita Bank B.S.C. on the Singapore Exchange Securities Trading Limited;

Oversea-Chinese Banking Corporation Limited’s initial public offering of S$1 billion 5.1 per cent. non-cumulative, non-convertible Class B Preference Shares;

OCBC Capital Corporation’s initial public offering of S$1.5 billion 5.1 per cent. non-cumulative, non-convertible guaranteed preference shares;

United Overseas Bank Limited’s Regulation S offering of S$1.3 billion subordinated debt;

Singapore Airport Terminal Services S$500 million medium term note programme;

Keppel Land’s asset-backed securitisation of future receivables from its residential development projects. This deal won “Securitisation Deal of the Year” by International Finance Review Asia (2002); and

US$950 million acquisition of Indonesia’s biggest coal mine. This deal won the “Southeast Asia Deal of the Year” and “Southeast Asia M&A Deal of the Year” by Asian Legal Business (2006).

 

Sharon was seconded to the legal department of UBS in Singapore in 2005, where she was involved in various capital market transactions. She graduated from the University of Cambridge with a MA (Hons) degree in Law and was called to the Singapore Bar in 1999. Sharon joined Allen & Gledhill in 2006.
