Tan Tze Gay has been a Partner in Financial Services since 1992.

She has been involved in a broad range of international transactions in Asia including debt and equity issues and the establishment of investment funds. She also advises international securities and asset management firms on licensing, regulatory and compliance matters.

Her recent transactions of significance include:

 

KS Energy Services Limited's S$131.6 million concurrent equity and convertible bond offering;

Yanlord Land Group Limited's 144A/Reg S concurrent offering of 150,000,000 new ordinary shares and S$477,250,000 convertible notes due 2012;

Babcock & Brown Structured Finance Fund Limited’s Reg S initial public offering and listing on the Singapore Exchange Securities Trading Limited;

Chemoil Energy Limited's 144A/Reg S initial public offering and listing on the Singapore Exchange Securities Trading Limited;

Gems TV Holdings Limited's 144A/Reg S initial public offering and listing on the Singapore Exchange Securities Trading Limited;

Chartered Semiconductor Manufacturing Ltd's US$300 million 6.25 per cent Senior Notes Due 2013;

Macquarie International Infrastructure Fund Limited's initial public offering and listing on the Singapore Exchange Securities Trading Limited;

Chartered Semiconductor Manufacturing Ltd's US$300 million convertible redeemable preference shares and amortising bonds due 2010;

ST Assembly Test Services Ltd's merger with ChipPAC, Inc.;

United Overseas Bank Limited's issue of US$1 billion and S$1 billion subordinated notes;

SembCorp Financial Services Pte Ltd's S$1.5 billion multicurrency medium term note programme, guaranteed by SembCorp Industries Ltd; and

STATS ChipPAC Limited's US$215 million senior high yield notes due 2011.

Tze Gay graduated from the National University of Singapore with an LLB (Hons) degree in 1987. She was called to the Singapore Bar in 1988 and joined Allen & Gledhill the same year. Tze Gay is cited as a leading finance practitioner by a number of legal publications including The Asia Pacific Legal 500 (2003/2004, 2005/2006, 2006/2007 and 2007/2008), Chambers Asia (2008), IFLR 1000 (2004 - 2008), The International Who’s Who of Business Lawyers (2007), The International Who’s Who of Capital Markets Lawyers (2006 and 2007) and Who’s Who Legal Singapore (2008).
