Jean Wan is a Partner in Corporate & Commercial. Her principal area of practice is in corporate and commercial law, with a special focus on corporate regulatory and compliance work. She is actively involved in advising SGX-ST listed companies and domestic companies on governance and compliance issues, and also advises on corporate reorganisations and amalgamations, local and regional joint ventures, mergers and acquisitions and employment matters.

Her transaction experience includes:

 

advising GIC Real Estate Pte Ltd, the real estate investment arm of the Government of Singapore Investment Corporation, in its acquisition of the PRC operations and Japan property fund interests of ProLogis in a deal worth US$1.3 billion;

acting for ING Bank N.V. in a structured finance deal involving a £700 million term loan facility from Standard Chartered Bank;

advising CDL Hospitality Real Estate Investment Trust in its sale and purchase of the hotel known as Novotel Clarke Quay from Lehman Brothers Real Estate Partners II L.P. and its affiliated partnerships in a deal worth S$201 million;

advising Atlas Discovery Partners LLC in a joint venture with Korea Investment Holdings Co. Ltd to establish a US$101 million private equity fund in Singapore;

acting in various corporate restructuring exercises involving the amalgamations or transfers of business and/or assets of various companies across industries; and

advising various private and listed companies on share buybacks mandates, employee share option schemes and other corporate transactions.

 

Jean graduated from the National University of Singapore with an LLB (Hons) degree and was called to the Singapore Bar in 2001. She is also admitted to the Roll of Solicitors of the Supreme Court of England and Wales.
