On 21 August 2026, the National Development and Reform Commission (“NDRC”) of the People’s Republic of China released the Measures for the Administration of Outbound Investment (Revised Draft for Comments) (对外投资管理办法(修订征求意见稿) “Draft Measures”) for public comment, proposing revisions to the existing Measures for the Administration of Overseas Investment of Enterprises (NDRC Order No. 11 of 2017) (“Order 11”). The accompanying explanatory note states that the revisions are intended to align Order 11 with the Provisions of the State Council on Outbound Investment (Order No. 837) (“Provisions”), which took effect on 1 July 2026. The NDRC has indicated that the revisions to Order 11 are guided by the principles of “overall continuity” and “coordination and alignment”, among others, and are intended to refine the regulatory framework relating to outbound investment at the level of departmental rules. The Draft Measures would also change the title of the current Measures for the Administration of Overseas Investment of Enterprises to the Measures for the Administration of Outbound Investment, signifying the broader scope of entities now covered under its purview.
