Allen & Gledhill advised The Hongkong and Shanghai Banking Corporation Limited, Singapore Branch (“HSBC”) and Oversea-Chinese Banking Corporation Limited (“OCBC”), on the establishment of a S$1 billion multicurrency debt issuance programme (“Programme”) and issue of S$300 million 4.50 per cent. subordinated perpetual securities under the Programme by SPH REIT.

HSBC and OCBC were appointed arrangers of the Programme and joint lead managers and joint bookrunners for the issue.

The Bank of New York Mellon, Singapore Branch (“BNY Mellon Singapore”) was appointed trustee, CDP issuing and paying agent, CDP calculation agent, CDP registrar and CDP transfer agent.

The Bank of New York Mellon, London Branch (“BNY Mellon London”) was appointed non-CDP issuing and paying agent and non-CDP calculation agent.

The Bank of New York Mellon SA/NV, Luxembourg Branch (“BNY Mellon Luxembourg”) was appointed non-CDP registrar and non-CDP transfer agent.

Advising HSBC and OCBC was Allen & Gledhill Partner Margaret Chin.

Advising BNY Mellon Singapore, BNY Mellon London and BNY Mellon Luxembourg was Allen & Gledhill Partner Daselin Ang.

Advising HSBC and OCBC on tax issues was Allen & Gledhill Partner Sunit Chhabra.
