On 5 February 2020, the Securities Commission Malaysia (“SC”) issued the Annual General Meeting Corporate Governance Checklist for Shareholders (“AGM CG Checklist”). The AGM CG Checklist aims to promote meaningful dialogue between shareholders and the board of directors at AGMs of companies and to provide guidance to shareholders on key issues, such as matters pertaining to the appointment of directors, approval of directors’ fees, appointment of auditors, which they should consider or raise at an AGM before exercising their voting rights.

Although the AGM CG Checklist was developed for shareholders, the SC encourages other stakeholders, such as consumers and potential investors,
to use the checklist to understand and evaluate the performance, policies and practices of companies.
