In their Antitrust/Competition article, Partners Daren Shiau and Elsa Chen (Chief Economist) discuss the effect of the Significant Investments Review (Disregarded Equity Interests) Regulations 2025, which clarify the treatment of certain equity interests under section 14 of the Significant Investments Review Act 2024. The Significant Investments Review Act 2024 establishes a framework for the review of domestic and foreign significant investments into entities deemed critical to Singapore’s national security.

In his Banking & Finance article, Partner Francis Mok discusses the proposal by the Monetary Authority of Singapore to increase the financing threshold for the subscription or purchase of shares for initial public offerings, employee share option schemes, and rights issues from 80% to 90% of the subscription price or purchase price.

The Featured Case section covers the decision of the Singapore Court of Appeal in The Maersk Katalin [2025] SGCA 42, in which Partners Corina Song and Daniel Liang represented the successful bank. The judgment, of relevance to trade financiers, goes a long way towards restoring faith in the bill of lading and the presentation rule.
