Practical Law: Securities Regulatory Framework, and Disclosure Obligations of Listed Companies - Singapore (2025)

- Securities Regulatory Framework: Overview (Singapore): This practice note provides an overview of the regulatory framework for securities transactions in Singapore. In particular, it examines the Securities and Futures Act 2001, including its subsidiary legislation, and the listing rules of the Singapore Exchange Securities Trading Limited (“SGX”). It also discusses the principal regulatory agencies in Singapore and how securities laws apply to foreign issuers.
- Disclosure Obligations of Listed Companies (Singapore): This practice note provides an overview of the disclosure obligations of a company whose equity securities are listed on the SGX. It mainly discusses periodic reports and other disclosure documents that must be published by listed companies and disclosures that must be made by their directors and shareholders under the applicable laws of Singapore and the SGX listing rules. It also addresses how the disclosure requirements may differ for domestic and foreign companies.
