Charities Essentials: Converting a Charity from a Society to CLG and Duties of Directors and Office-Holders
Charities that have been founded as societies may be considering converting to a Company Limited by Guarantee (“CLG”). While other webinars have covered the benefits of a CLG structure for a charity, this webinar, will outline the legal considerations and practical steps involved in the conversion process, including the incorporation and registration of the new CLG, transfer of assets and operations, and dissolution of the existing society. We will also examine the duties of office-holders and board members of charities under the Companies Act 1967 and Societies Act 1966, including compliance requirements, fiduciary duties, and good governance practices.
The webinar will also feature a panel discussion with perspectives from the legal practitioners and charity sector leaders on navigating the transition while maintaining robust governance standards, including questions such as:

Kenneth S Lim Partner, Allen & Gledhill |
Kenneth is a Partner in the Corporate Mergers & Acquisitions department. His key areas of practice include mergers and acquisitions, joint ventures, equity fundraising, corporate restructuring, employment law and general commercial contracts. He has acted for private equity firms, strategic investors and corporate clients on both local and cross-border transactions. Kenneth has a special interest in the sustainability sector and has advised clients on investments into carbon project developers and sustainability consultants. In 2024, Kenneth was also seconded to GenZero, where he worked on carbon project and climate technology investments. Kenneth also regularly advises clients on charity-related matters, such as charity establishment, compliance with charities regulations and guidelines and conversions of charities from registered societies to companies limited by guarantee. Kenneth graduated from University College London with an LL.B. (Hons) degree. |

Alyssa Tjioe |
Alyssa is a Senior Associate in the ESG & Public Policy Practice at Allen & Gledhill. Alyssa was previously a consultant in the Climate Change & Sustainability Services team of a Big Four accountancy firm, and a sustainable finance analyst at the ESG ratings arm of a Big Three credit ratings firm. Her ESG and public policy experience includes providing legal advice on ESG-related developments, including newly-introduced legislation and guidelines. She also has a background in drafting, rating, and advising on the legal implications of ESG disclosures in line with various international standards. She has also assisted in the development, assurance, and rating of sustainable finance frameworks and instruments. Her experience also includes advisory services on ESG strategy and ESG integration. |

Cai Chengying Deputy Chief Executive Officer, Pro Bono SG |
Cai Chengying is the Deputy CEO of Pro Bono SG and she oversees efforts in fundraising, grants administration, supporter engagement, communications and legal support for the non-profit sector. She also focuses on enhancing organisational efficiency, charities governance, impact evaluation, and resource mobilisation. Working directly with the CEO, they guide our strategic direction and operational initiatives to drive organisational growth and success. She speaks frequently at various legal industry and social sector events and participated in NCSS’s 40-Under-40 programme, a distinguished leadership initiative for social service sector leaders in 2023. In 2025, she was conferred the Merit Award at the Social Service Professional Awards Ceremony in recognition of her invaluable contributions to the sector. Prior to joining Pro Bono SG in February 2020, Chengying was a litigator in private practice. She volunteered with Pro Bono SG’s various legal aid programmes after getting called to the Bar and was seconded to the Criminal Legal Aid Scheme to do full-time pro bono criminal defence work as a pioneer CLAS Fellow in 2015. |

Mr Tan Kwang Cheak is the Chief Executive Officer (CEO) of Singapore Cancer Society. He started his career in the Singapore Administrative Service and has over 25 years of experience across the public, private, and charity sectors. Before joining the charity sector, he was the Chief Executive Officer of the Agency for Integrated Care, an agency under the Singapore Ministry of Health leading efforts to support aging-in-place, empower seniors and transform the care community. He is a certified Master HR Professional under the Institute of HR Professionals and a Senior Accredited Director under the Singapore Institute of Directors.
